Our commercial transactions team provides advisory services in relation to the structuring and negotiation of complex commercial transactions and the drafting of all associated documentation.

Our aim is always to deliver the most efficient and cost-effective outcome for our clients, whilst at all times retaining a focus on the mitigation of the risks that inevitably arise from commercial contracts.

For a number of our clients, we act as an extension of their in-house legal teams providing resources to assist with their day to day contractual drafting needs.

Acquisitions

O’Donnell Salzano Lawyers acts for both vendors and purchasers in asset and share acquisition transactions. We work hard at developing a comprehensive understanding of the business to be sold, so that the risks of the relevant transaction can be properly assessed and guarded against.

Intellectual
Property

We provide advice in relation to copyright, trade-marks, registered designs and trade-secrets including the infringement of relevant rights. For a number of our clients we manage their intellectual property portfolios and handle relevant registrations and renewals. Should infringement action become necessary, or any of our clients become subject to an infringement claim, our commercial dispute resolution team can provide advice and representation in connection with the prosecution or defence of the relevant claim.

Software and
Technology

O’Donnell Salzano Lawyers acts for a number of computer software licensors and service providers who supply their products and services in a wide array of industry sectors including media, telecommunications, building and construction and facilities management.

Our clients licence software to their end-customers both directly and via a cloud based services model. Frequently, the software and services provided by our clients to their end-customers are business critical and with this comes inherent complexity in contracting arrangements. O’Donnell Salzano Lawyers provides its services throughout the entire sales cycle including review of tender requests and initial proposals, review of statements of work, assistance with commercial and contractual negotiations and contractual drafting.

Resolution

Our commercial litigation team is highly experienced in all aspects of commercial litigation and dispute resolution in all Courts and most Tribunals in Australia.

We provide expert advice not only during the litigation process itself, but also in identifying and managing risk so as to reduce the probability and severity of litigation. Our aim is to achieve the best commercial outcome for our clients in what can be an experience fraught with risk and cost. This includes a focus on Alternative Dispute Resolution to achieve, where possible, the resolution of legal issues without the need to resort to litigation. However, if this is not possible, we fight strenuously but fairly and honestly for our clients to achieve a successful litigious outcome.
